I have have an old Modicon E984--258/265/275/285 PLC.

I need the Proworx32 to connect to the PLC and download the logic so i can migrate it into a new PLC.

Any one who has the software?

Yes - Schneider Electric. I suggest you contact them. If you're migrating to a new Unity processor they may even send out a tech to download the logic for you.
